NOTICE TO THE MARKET

Anhanguera Educacional Participações S.A. ("Company"), hereby informs its shareholders and the market in general that, as of this date, Mr. Alexandre Dias is the new CEO of the Company.

As CEO, Alexandre will be responsible for defining Anhanguera’s strategy with the Board, and implementing it, as he manages the Company’s operating activities, having as his main objectives the innovation and development of technology to be applied towards academic excellence, as well as the accelerated expansion of Anhanguera’s educational networks, so as to extend access to high-quality education to working adults seeking professional and social advancement.

Mr. Dias was CEO of Google Brasil from 2008 until September 2010. Previously, he worked with the DIRECTV Group, as Marketing & Sales Director at SKY Brasil, CEO of DIRECTV Peru, and CEO of DIRECTV Argentina and Uruguai. Alexandre also worked at McKinsey & Co. and in the Private Equity and M&A areas of CSFB-Garantia (São Paulo, Brazil) and Robertson Stephens (San Francisco, USA), respectively . His professional experience also includes Arthur Andersen and BankBoston. Alexandre graduated from the Univeristy of Campinas (Brazil) with a degree in Engineering, completed an MBA at UCLA, and specialized in Marketing at Stanford University.

With the arrival of Mr. Dias, Mr. Ricardo Scavazza returns to his role as Chief Financial Officer.

Professor Antonio Carbonari Netto, founder and President of Anhanguera Educacional, remains in charge of the Company’s main strategic/educational projects, especially those related to pedagogical innovation and to corporate training, particularly important for the dissemination of the Anhanguera culture, which is a key factor contributing to the Company’s successful trackrecord. In addition, Professor Carbonari will continue to lead Anhanguera’s institutional efforts with various regulatory bodies and expansion efforts into new markets.
