MATERIAL FACT

Anhanguera Educacional Participações S.A. ("Company"), in accordance with Article 157, Paragraph 4 of Law 6,404/76 and CVM Instruction 358/02, announces to shareholders and the general market that it acquired, on March 03, 2011, through its subsidiary Anhanguera Educacional Ltda. (“Anhanguera Ltda.”), from Grupo Ibmec Educacional S.A. (“Ibmec”), all rights and assets (“Assets and Rights”), related to the activities of Faculdade Uirapuru (“Uirapuru”) and Instituto Manchester Paulista de Ensino Superior (“Imapes” and, together with Uirapuru, “Colleges”), post-secondary-education institutions controlled by Ibmec in the city of Sorocaba. Together, Anhanguera Ltda. and Ibmec will request that the Ministry of Education (“MEC") transfer the Colleges’ accreditations to Anhanguera Ltda.

The total amount to be paid for the Assets and Rights in this transaction is five million, sixty-nine thousand reais (R$5,069,000.00), with a first installment, paid at the time of closing, and a second installment to be paid after the MEC effectively transfers the Colleges’ accreditations to Anhanguera Ltda.

In December 2010, the number of students in the Colleges totaled one thousand, five hundred and nine (1,509).

The acquisition marks the strengthening of the Company’s leading position in the State of São Paulo and is in line with its national expansion plan.
