<p style="text-align: justify;"><strong>Curitiba, May 7, 2013.</strong> Bematech S.A. (BM&amp;FBovespa: BEMA3), the leader in the Brazilian retail store automation market, hereby announces its consolidated results for the first quarter of 2013 (1Q13). The operating and financial data are presented based on consolidated figures, in compliance with International Financial Reporting Standards (IFRS) issued by the International Accounting Standards Board (IASB), and also in compliance with accounting practices adopted in Brazil (BR GAAP).</p>
<h2 style="text-align: center;"><strong>Bematech&lsquo;s revenue has increased for the sixth consecutive quarter. EBITDA continued to grow in 1Q13 by 34.3%, profits increased by 19.5% and revenue by 9.6%, compared to 1Q12</strong></h2>
<p style="text-align: left;"><strong>Period Highlights</strong></p>
<p style="text-align: justify; padding-left: 30px;">Profitability continued to grow in 1Q13, with net profits of R$ 7.2 million, compared to R$ 6.0 million of 1Q12. The net margin was 8.5% in 1Q12 compared to 9.2% in 1Q13;</p>
<p style="padding-left: 30px;">EBITDA totaled R$ 14.7 million, 34.3% higher than in 1Q12, with an EBITDA margin of 18.9%;</p>
<p style="padding-left: 30px;">Total net revenue climbed by 9.6% compared to 1Q12, totaled R$ 77.8 million;</p>
<p style="padding-left: 30px;">SG&amp;A expenses were 1.1% lesser than those of 1Q12, and general and administrative expenses fell by 10.5%;</p>
<p style="padding-left: 30px;">The sales of solution to corporate markets were one of the highlights of this quarter, along with revenue increase and new business with the client base. Compared to 1Q12, annual revenue from Hardware and Software climbed by 4.6% and 38.6%, respectively. In the service unit, the substantial reduction in costs pushed the gross margin up to 23.9%, compared to 17.5% of the same period of the previous year;</p>
<p style="padding-left: 30px;">Net cash from operating activities moved up by 26.8%, resulting in an operating cash flow of R$17.2 million in 1Q13, versus R$13.5 million in 1Q12.</p>

<p>Curitiba, March 26, 2013 - In accordance with legal and statutory terms, the shareholders of BEMATECH S.A. are hereby called to attend the 22nd Annual Shareholders&#145; Meetings, to be held on April 11, 2013, at 10:00 a.m., at the Hotel Tulip Inn São José dos Pinhais, located at Barão do Serro Azul Street, 261, in São José dos Pinhais, in the state of Paraná, to discuss and resolve on the following Agenda:</p>
<p>a) Receive the management&#145;s accounts, examine, discuss and vote on the financial statements for the fiscal year ended December 31, 2012;<br />b) Resolve on the result from the fiscal year ended December 31, 2012 and the resulting absorption of the loss in the period by profit reserves, in accordance with the terms of the sole paragraph of article 189 of Law 6,404/76; and<br />c) Elect members of the Board of Directors and set the overall compensation of management.</p>
<p>In accordance with the terms of Article 3 of CVM 165/91, amended by CVM Rule 282/98, the minimum percentage of voting capital stock required to request the adoption of multiple vote is five percent (5%).</p>

(BM&amp;FBovespa: BEMA3), the leader in the Brazilian retail store automation market, hereby announces its consolidated results for the fourth quarter (4Q12) and full year of 2012. The operating and financial data are presented based on consolidated figures, in compliance with International Financial Reporting Standards (IFRS) issued by the International Accounting Standards Board (IASB), and also in compliance with accounting practices adopted in Brazil (BR GAAP).</p>
<h2 style="text-align: center;">Operating efficiency and the strategy of selling complete solutions leads to revenue of R$328.4 million in 2012, 11.3% up on 2011, net income of R$32.5 million and EBITDA growth of 89.2%</h2>
<p style="text-align: justify;"><strong>Period Highlights</strong></p>
<p style="text-align: justify; padding-left: 30px;">Profitability continued to grow in 4Q12, with net income of R$10.8 million, higher than the R$ 1.1 million in 4Q11. Annual net income came to R$32.5 million, accompanied by a net margin of 9.9%, a 24.3 p.p. improvement;</p>
<p style="padding-left: 30px;">EBITDA totaled R$19.6 million, 65.1% higher than in 4Q11, with an EBITDA margin of 22.5%. In 2012, adjusted EBITDA amounted to R$62.3 million, 89.2% up on 2011, accompanied by a margin of 19.0%;</p>
<p style="padding-left: 30px;">Total net revenue climbed by 5.0% over 4Q11. In 2012, net revenue recorded a two-digit increase, moving up by 11.3% over 2011 to R$328.4 million;</p>
<p style="padding-left: 30px;">SG&amp;A expenses fell by 18.0% in 4Q12 over 4Q11 and by 8% in 2012, representing 27.4% of net revenue, versus 33.1% in 2011;</p>
<p style="padding-left: 30px;">In 2012, the focus on the sale of complete solutions contributed for the revenue growth of 11% in the hardware and 26,2% in software units. In the service unit, the substantial reduction in costs pushed the gross margin up to 21.8%, versus a negative 1.2% in 2011;</p>
<p style="padding-left: 30px;">Net cash from operating activities moved up by 112%, giving operating cash flow of R$69.6 million in 2012, versus R$32.8 million in 2011.</p>

<p style="text-align: justify;">Bematech S/A (BM&amp;FBovespa: BEMA3), leader in technology solutions for the retail store market, pursuant to CVM Instruction 358, of January 3, 2002, in accordance with the resolution of the 292nd Board of Directors&rsquo; Meeting, held on November 06, 2012, hereby informs its shareholders that, pursuant to Article 24, item k of its Bylaws and as permitted by Article 204 of the Brazilian Corporate Law, it has approved the payment of interim dividends, to be submitted for approval by the Company&rsquo;s Shareholders&rsquo; Meeting, totaling two million, five hundred sixty-eight thousand, eight hundred seventy-three reais and fifty centavos (R$2,568,873.50), equivalent to five centavos (R$0.05) per share, based on income on the balance sheet of September 30, 2012.</p>
<p style="text-align: justify;">The aforementioned dividends will be paid by December 03, 2012, while November 06, 2012 shall serve as the reference date for determining the right to receive dividends. After said date, that is, as of November 07, 2012, shares will be traded ex-dividends.</p>

<h2 style="text-align: center;">Focus on strategy and disciplined execution leads to positive results: year-on-year increases of 20.4% in net revenue and 172.9% in adjusted EBITDA, accompanied by net income of R$9.7 million</h2>
<p><strong>Period Highlights</strong></p>
<p style="text-align: justify;">&bull; Profitability continued to grow, with net income and EBITDA of R$9.7 million and R$18.4 million, respectively;<br />&bull; Net income increased by 59.4% over 2Q12, with a margin gain of 4 p.p. to 11.2%;<br />&bull; Total net revenue climbed by 20.4% over 3Q11 and 3.0% over 2Q12, thanks to excellent performance of the channel program, higher revenue from chains and franchises, home appliances and footwear, and the full consolidation of CMNet&rsquo;s results;<br /><span>&bull; SG&amp;A expenses continued to decline, falling by 6.4% and 7.7% over 3Q11 and 2Q12, respectively, and accounting for 26.1% of net revenue, less than the 33.5% recorded in 3Q11 and the 29.1% registered in 2Q12;</span><br />&bull; Revenue from the hardware and software units continued to grow, while revenue and costs from services remained stable, with a focus on increasing profitability, giving a gross margin of 20.3%, versus 5.7% in 3Q11 and 23.4% in 2Q12;<br />&bull;Improved operating efficiency pushed up the Company&rsquo;s net cash from operating activities by 160%, giving operating cash flow of R$47.9 million in 9M12, versus R$18.4 million in 9M11. </p>

<p>Bematech S/A (BM&amp;FBovespa: BEMA3) ("Bematech"), leader in technology solutions for retail and hotel industry in Brazil, announces that entered into an agreement with Elavon, a company of the acquiring and processing of credit, debit card transactions and electronic means of payment sector, to jointly explore the capturing of card transactions market. This agreement is part of both companies&#145; strategy of leveraging their businesses, which makes them innovative companies by implementing a new concept in the country, known as ISO (Independent Sales Organization).</p>
<p>With this partnership, Bematech, through its own sales force and its resellers nationwide, now captures transactions of commercial establishments, selling its solution called BemaTEF (Eletronic Funds Transfer) and also prospects these retailers so that they can be accredited and take advantage of the services of capturing payment transactions through Elavon.  Bematech will also be liable for training and managing these sales teams, which will operate throughout the Brazilian states.</p>

<p>According to studies carried out by the Brazilian Association of Credit Card and Services Companies (ABECS), Brazil&#145;s means of payment market transacted approximately R$370 billion until June 2012. <p>Bematech S/A (BM&amp;FBovespa: BEMA3) (“Bematech”), leader in the Brazilian retail store automation market, pursuant to CVM Instruction 358 of January 3, 2002, hereby announces that it received, on this date, from those shareholders holding the remaining 49% of the shares in CMNET Soluções em Informática e Agência de Viagens e Turismo S.A. and CMNET Participações S.A., notification of their exercise of the Option to sell 100% of their shares in said companies, as envisaged in the Shareholders&rsquo; Agreement entered into on January 15, 2009 and the Material Fact disclosed on December 22, 2008.</p>
<p>As a result of the exercise of said Option, Bematech will pay fifty million reais (R$50,000,000.00), adjusted by the IPCA consumer price index from the Shareholders&rsquo; Agreement signature date to the date of effective payment, within 60 days as of today&lsquo;s date.</p>
<p>CMNET operates in the automation solutions segment for hotels and inns, including reservation services, and is present in the Brazilian, Latin American and European markets.</p>

<p style="text-align: justify;">Bematech CMNet, a provider of complete technological solutions for the retail and hotel industries, and Club de Regatas Vasco da Gama, one of Brazil&rsquo;s largest multisport clubs, have announced a partnership for the implementation of the club&rsquo;s new management system.<br /><br />The new technology, available in the accounting and management modules, will improve the organization and management of Vasco&rsquo;s contracts, as well as help control the club&rsquo;s financial matters, such as accounts payable and receivable, planning, budget and payroll.<br /><br />With the new system, the club expects to conclude the vertical integration of its managerial analyses, which will be facilitated by the issue of reports. The project is expected to be fully implemented in the first quarter of 2012.<br /><br />As part of the agreement&rsquo;s conditions, the CMNet brand will be stamped on the shirts of the Vasco da Gama soccer players in the team&rsquo;s next game, on Wednesday, November 30 at 9:50p.m., against Universidad de Chile, for the South American Cup.</p>

<description><![CDATA[ <h2>Bematech presents exclusive innovations during the 13th edition of AUTOCOM</h2>
<p style="text-align: justify;">Bematech, leader in technology solutions for retail in Brazil, will be on the 13th Exhibition and Congress on Retail Automation, Services and Solutions for Commerce (AUTOCOM 2011), held on 7 - 9 of June in the yellow Pavilion of Expo Center Norte, performing their traditional event "Show do Varejo" adressed to guests, resellers, partners and prospects. Under the theme "Theatre", the Company will launch new management systems, equipments and solutions for retail, furthermore special attractions at their booth during all-day meeting.</p>
<p style="text-align: justify;">The Company expects to meet and strengthen its relationship with its sales force. Atualmente, a Bematech trabalha com cerca de 4 mil canais em todo território nacional. Nowadays Bematech works with around four thousand resellers in Brazil.</p>
<p style="text-align: justify;">One of the news is the RC-8000, a CPU produced by the Company which complements its portfolio of computers for the retail. This is a CPU exclusively dedicated to retail automation, fully designed by Bematech in Brazil. The Company started to produce this product locally, considering all its knowledge in retail automation acquired in view of leadership in the printer market for retail.</p>
<p style="text-align: justify;">Another highlight of Bematech is a pilot project for an application to electronic guestcheck integrated to the management system called Bematech Chef - specific to the food segment - in devices like the iPod touch, iPad tablets and other similar equipments which uses Android system. With this new feature for touch equipments, employees of commercial establishments can place the orders at the table, and automatically pass them to the kitchen. Besides they can also have access to maps of available tables in the lounge and to the customer&#145;s final bill.</p>

<p>Bematech S/A (BOVESPA: BEMA3), the absolute leader in technology solutions for retail in Brazil, in compliance with CVM Rule 358 of January 3, 2002, hereby announces that the 264th Board of Directors&rsquo; Meeting held on April 28, 2011 elected Mr. Cleber Pereira de Morais as the Company&rsquo;s new Chief Executive and Investor Relations Officer.</p>
<p>Cleber has 23 years of experience in major technology companies. During the past four years as CEO of Avaya Brasil, he delivered significant results, which included doubling the sales volume, to consolidate the company&rsquo;s presence in the Brazilian market. From 1996 to 2007, he served as an executive at Sun Microsystems, focusing on Java software solutions, and went on to become the Head of Sales for Latin America in 2001, operating out of Florida, USA. He returned to Brazil as CEO of the local subsidiary, where, during four years he made significant achievements in the commercial, marketing and channel sales areas. From 1988 to 1996, he worked at IBM Brasil.</p>
<p>Cleber has a degree in Electronic Engineering from the Mauá School of Engineering and has completed specialization courses in sales, marketing, customer relations and leadership at such institutions as the Harvard Business School, Columbia University Business School, University of Pennsylvania, Getulio Vargas Foundation and Dom Cabral Foundation.</p>

<p style="text-align: justify;"><strong>Curitiba, November 8, 2010 -</strong> Bematech S.A., the leader in technological solutions for hospitality and retail stores, has disclosed its results for the third quarter, together with an assessment of its year-to-date results. In the first nine months, Bematech posted net revenue of R$ 244.7 million, 3.2% up on 9M09, and net income of R$ 24.8 million, a 47% year-over-year improvement, equivalent to a net margin of 10.1%.</p>
<p style="text-align: justify;">In the third quarter, Bematech recorded net revenue of R$ 80.1 million, 6.7% less than the same period last year, mainly due to the slower recovery of the international market. Software and service revenue jointly accounted for 37% of the total.</p>
<p style="text-align: justify;">Sales of software new licenses moved up 37.8% year-over-year and net revenue totaled R$ 14.0 million, 3.3% more than in 3Q09 and a hefty 14.1% up on 2Q10.</p>
<p style="text-align: justify;">The software gross margin improved substantially, reaching 32.2%, well above the 8.4% reported in 2Q10, while the hardware gross margin widened by 3 p.p. over 3Q09. As a result, third-quarter gross profit came to R$ 33.1 million, corresponding to a gross margin of 41.3%.</p>
<p style="text-align: justify;">Cash generation, measured by EBITDA adjusted for non-recurring expenses, stood at R$ 16 million in 3Q10, with a margin of 20%, 1.5 p.p. up year-over-year and 4.6 p.p. higher than in 2Q10.</p>
<p style="text-align: justify;">According to Carlos Costa Pinto, the Company&rsquo;s CEO, “Bematech&rsquo;s expanding operations in the retail technology segment, offering increasingly diversified point-of-sale products and services, have proved to be promising. Retail stores are slowly but increasingly adopting POS automation tools, once merchants tend to choose those technologies that, besides complying with fiscal regulations, are designed to improve management and customer relations.”</p>
<p style="text-align: justify;">The Company is implementing several initiatives to strengthen its fundamentals, including the launch of differentiated and innovative products like the all-in-one CPU with a multi-touch screen and pre-installed POS management software.</p>
<p style="text-align: justify;">In the service area, Bematech is continuing to increase the sale of services associated with electronic means of payment, such as pinpad integration or the BemaTEF Turbo, which is compatible with any acquirer network and offers retailers an alternative to conventional credit and debit card machines. With BemaTEF Turbo, Bematech has become one of the first non-acquirers to offer an independent data capture network. Currently, these solutions are present in 50,000 points of sale.</p>
<p style="text-align: justify;"><strong>Dividends Payment</strong> - In addition to the third quarter earnings release, Bematech announced the distribution of dividends in the amount of R$ 5,156,827.00, corresponding to R$ 0.10 per share, to be paid on November, 30th. The base date for determining the right to receive dividends is November 8, 2010, after which the shares will be traded ex-dividend.</p>

<p style="text-align: justify;">During the last quarters, we integrated the companies we acquired, leveraging synergies and sharing knowledge; however, we still need to accelerate growth in the software and services business lines, strengthen our international presence and consolidate our solutions sales model.</p>
<p style="text-align: justify;">In order to generate more value for the business and its stakeholders and accelerate the speed with which we make decisions, it has become necessary to review our organization. This includes unifying some departments, bringing strategic levels into closer contact with operations.</p>
<p style="text-align: justify;">The new organizational structure represents an opportunity to create new leaderships from inside the Company, divided into three executive business departments, reporting to the CEO, which will be led by Eros Jantsch in Hardware (Fiscal and Retail Solutions); Fabio Matias in Software and Ricardo Couto in Services. The commercial area in Brazil will be also headed up by Ricardo Couto, temporarily. In the international markets, Wladimir Alvarez, remains as sales director, being also the country manager in the United States.</p>
<p style="text-align: justify;">Moreover, Luiz Carlos Valle Ramos will be the new head of the finance activities. He has joined Bematech 4.5 years ago and will be the Director of the Finance and Administrative area. The duties of the Controlling area will be led by Vilmar Casali, who is with Bematech since 2000 and was one of leaders of the Company&rsquo;s IPO process.</p>

According to data from the Brazilian Association for the Promotion of Innovative Businesses (Anprotec), Brazil has approximately 400 business incubators that support approximately 6,300 companies, which, in turn, pay taxes totaling some R$400 million annually. In the state of Paraná alone, there are 30 incubators and three technological parks spread throughout 15 cities. These figures show that many entrepreneurs have all the conditions required to support their businesses during the incubation period and to be successful, but not all of them achieve this objective.</p>

<p style="text-align: justify;"><strong>Curitiba, August 9, 2010 -</strong> Bematech S.A., leader in retail store automation, announced its financial results for the second quarter, which included results for the first half of 2010, and reaffirmed its outlook for the remainder of the year. During the first half of the year, Bematech&rsquo;s net revenue increased by 8.8%, with a significant 75.1% gain in operating results as measured by EBITDA (cash flow). As a result, Bematech ended the period with an EBITDA margin of 17.6%, improving from 10.9% in the first half of 2009. Net income for the first six months of 2010 totaled R$ 18.8 million, representing net margin of 11.4%, which is significantly higher than the R$ 0.7 million posted for the first half of last year.</p>
<p style="text-align: justify;">In the 2Q10, the company registered a sharp increase in net income to R$ 8.2 million, compared to R$ 0.4 million in the 2Q09. Net revenue for the period was R$ 82 million, up 2.0% from the second quarter of 2009. EBITDA margin for the quarter stood at 15.4%. For the medium term, the company projects an EBITDA margin between 21% and 24% of net operating revenue for fiscal years 2011 and 2012.</p>
<p style="text-align: justify;">According to Bematech&rsquo;s CEO, Carlos Costa Pinto, sales for the second quarter were down slightly from the excellent result posted for the first quarter of the year. “Bematech&lsquo;s revenue growth drivers include an increase in the amount of retail establishment, which make up our addressable market, and the consumer confidence index. The latter derives from expectations of small and midsized retailers concerning economic growth, which decelerated in the 2Q10. On the other hand, sales by large retail chains in the second quarter are a good indicator of our sales prospects for the second half of the year."</p>
<p style="text-align: justify;">In terms of profitability, Bematech continues to extract synergy gains from its acquired companies and various initiatives to reduce costs, from its new distribution model and more competitive products and services at the point of sale. Gross margin for the 2Q10 was 41.4%, up 1.7 p.p. year-over-year, supported by higher equipment sales. Mini-printer sales volume rose by 14.4%, while CPU and micro-terminal sales grew 24.7%.</p>
<p style="text-align: justify;">The number of new commercial management systems licenses sold during the quarter totaled 2,154 units, up 45.7% on the same quarter of last year, with sales concentrated in solutions for the bar and restaurant segment.</p>
<p style="text-align: justify;">In services, Bematech continues to follow its revenue diversification strategy. The company recently launched its own electronic funds transfer solution, BemaTEF Turbo, offering retailers an alternative to conventional credit or debit card machines.</p>
<p style="text-align: justify;">For 2010, Bematech continues to focus on executing its expansion strategy, which includes revenue growth and better management of costs and expenses. As part of this strategy, during the quarter, the company invested a total of R$ 4.1 million in new product development and improvements to existing products. It also launched a marketing campaign using the principal communication channels to disseminate its new logo and strengthen its position as a complete retail solution provider. Cash and cash equivalents totaled R$ 61.4 million at the end of June, which guarantees sufficient liquidity to meet its financial commitments and new investment opportunities.</p>

<p style="text-align: justify;">The company follows a trend whereby 70% of the companies in Brazil already have a presence in the social media, according to a survey by Deloitte. In the case of investor relations, besides leveraging the communication potential, the networks also permit the exchange of information with analysts and other industry professionals.</p>
<p style="text-align: justify;">According to Mônica Molina, the Investor Relations Officer, the initiative complements ongoing efforts to enhance the company&rsquo;s communications through reports, meetings with investors, campaigns and, now, through a strong presence in the social media.</p>

<description><![CDATA[ <H2 align=center>With consistency in the execution of its strategy, Bematech improved its operating results and registered substantial net income growth in the first quarter</H2>
<P align=justify><FONT face=tahoma>Curitiba, May 3rd, 2010 - Bematech (BEMA3), the leader in complete technology solutions for hospitality and retail store automation in Brazil, today announces its balance sheet figures for the first quarter of 2010 (1Q10). The company ended the first quarter with net revenue of&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; R$ 82.6 million, almost 17% higher than in 1Q09. Net income totaled R$ 10.6 million, compared to R$ 0.3 million in 1Q09 and the equivalent R$ 11.0 million in 4Q09.</FONT></P>
<P align=justify><FONT face=tahoma>All revenue lines - equipment, management systems and services – registered year-on-year growth, confirming the trend of continued investments by retailers a year after the peak of the global financial crisis. The highlight was the strong recovery in sales of equipment, with mini-printer sales totaling 39,000, 30% up year-on-year. Revenue from equipment sales grew by 22%. The Company also recorded significant sales growth in CPUs, micro-terminals, and bar code readers, thus broadening the hardware sales mix.</FONT></P>
<P align=justify><FONT face=tahoma>According to Carlos Costa Pinto, the CEO, “the first quarter results confirmed Bematech’s consistent operating growth over recent quarters, with growth in sales, improved management of costs and expenses and, especially, the focus on executing its growth strategy”.</FONT></P>
<P align=justify><FONT face=tahoma>Gross margin reached 43%, 6.4 p.p. higher than in 1Q09, underlining the consistent operating improvements. Note that Bematech’s business is impacted by the seasonal effects over the quarters, with sales growing during the course of the year.</FONT></P>
<P align=justify><FONT face=tahoma>Revenue from applications grew 14% year-on-year, with a total of 2,400 licenses sold. Bematech recorded excellent sales of solutions for the hospitality industry through the CMNet and retail products, and for the food service vertical, where the MisterChef solutions once again drove sales. <BR>&nbsp;<BR>Revenue from services are diversifying, with sales of BemaTEF, the electronic funds transfer solution, already accounting for about 14% of the net revenue from this business, thanks to contracts with the leading debit and credit card acquirers. This result was also positively impacted by a new relationship model with the technical support network (RAT) by which Bematech provides diverse services and benefits.</FONT></P>
<P align=justify><FONT face=tahoma>“Management systems and services represent 35% of the Company’s total net revenue, which is significant for the consolidation of Bematech as a provider of complete technology solutions for hospitality and retail industries”, said Costa Pinto.</FONT></P>
<P align=justify><FONT face=tahoma>As a result of revenue growth across all business lines and greater efficiency in management, the company’s cash flow, as measured by EBITDA, came to R$ 16.3 million, compared to R$ 4.1 million in 1Q09. EBITDA margin was significantly higher, moving up from 5.7% to 19.7%, showing the consistent business improvement. The cash balance at the end of the quarter totaled R$ 76.9 million, which ensures enough liquidity to meet the financial obligations and investment opportunities. </FONT></P>
<P align=justify><FONT face=tahoma>New brand identity</FONT></P>
<P align=justify><FONT face=tahoma>To highlight the new phase of its evolution and its market positioning as a provider of complete technology solutions for hospitality and retail stores, Bematech launched a new logo. This was the result of a comprehensive redesign of the visual identity during the course of 2009. The objective of this strategy is to reinforce the image of quality, efficiency and solution that has characterized Bematech over the years. </FONT></P>
<P align=justify><FONT face=tahoma>“The new logo begins a new phase for Bematech. The company believes that the strategic decision to change its visual brand language increases its competitiveness in the market and better expresses its culture. It also allows communication to be aligned at all points of contact”, said Rodrigo Rasera, head of the Marketing Department. </FONT></P>

<description><![CDATA[ <H2>Notice to Shareholders – Dividends Payment</H2>
<P>As approved by the Company’s 19th Annual Shareholders Meeting, held on April 19, 2010, we would like to inform all shareholders about the payment of dividends in the total amount of R$15,470,481.00 (fifteen million, four hundred and seventy thousand, four hundred and eighty one reais), which is equivalent to R$ 0.30 per share, to be paid on April 29, 2010. </P>
<P>Additionally, we would like to inform that the date of April, 19, 2010 was considered the reference date to determine the rights to receive dividends. After this date, shares shall be considered as ex-dividends. Dividends unclaimed within a period of 03 (three) years, as of the starting date of payment will expire and be transferred back in benefit of the Company (Law 6,404 of 12/15/76, Article 287, Subsection II, Item a).</P>
<P>The dividends will be paid without the withholding income tax, as follows: (i) directly to the shareholder’s bank and current account number supplied to ITAÚ UNIBANCO S/A.; (ii) for shareholders whose registration does not have the Individual Taxpayer’s Register (CPF)/Corporate Taxpayer’s ID (CNPJ) and/or indication of the banking data (Bank/Branch/Checking Account), the dividends will be paid as of the third business day counted from the registration updating in the electronic files of ITAÚ UNIBANCO S/A., which may be carried out by means of any branch of the network or by means of correspondence addressed to ITAÚ UNIBANCO S/A. – Diretoria de Serviços para o Mercado de Capitais, located at Avenida Eng. Armando de Arruda Pereira, nº 707, 7º andar, Jabaquara, São Paulo/SP, CEP 04344-902; (iii) the shareholders users of fiduciary custodies will have their dividends made available according to procedures defined by the Stock Exchanges.</P>

<P>Bematech, leader in the Brazilian commercial automation market, launched its new brand at the beginning of the week. The objective is to mark the company’s new positioning as a provider of complete store automation solutions for the retail sector.</P>
<P>A year ago, a project was launched to better understand the market and its relationship with Bematech, and work began on repositioning and revamping the brand through an in-depth diagnosis, analysis and survey to discover the right direction and draw up the brand’s DNA.</P>
