In the period January-November 2011, the consolidated Net Revenue totaled R$ 3.798 billion, an increase of 12.9% as compared with the result achieved in the same period last year.

The total Gross Revenue (without eliminations and including taxes) reached R$ 508.2 million in November 2011, 1.1% down from that reached in November 2010. In the period January-November 2011, Gross Revenue totaled R$ 5.821 billion, an increase of 14.1% when compared with the same period in the prior year.

Payment will begin start January 24, 2012 and the shares will be traded ex-right to interest beginning on December 6, 2011. Concerning withholding income tax, current legal provisions will be followed.

RESOLUTIONS: Pursuant to the Agenda for the Meeting, known by all, the Board of Directors members unanimously decided to credit and pay interest on own equity relating to the January-June 2011 period, in the form and limits laid down by law. The amount to be credited on June 30, 2011 is R$ 30.892.716,54 (Thirty million, eight hundred and ninety-two thousand, seven hundred and sixteen Reais plus fifty-four cents) and all shareholders holding shares until the end of this day will be remunerated with the value of R$ 0,12817 per common or preferred shares. Such value may be attributed to dividends relative to the 2011 business period, as it may be decided in the next Ordinary General Meeting. The payment will begin on July 11, 2011, and shares will be traded ex-entitlement to interest beginning on June 14, 2011. Concerning the withholding tax, the current legal provisions will be followed. The Board members Hugo Eurico Irigoyen Ferreira and Célia Maria Xavier Larichia have sent, in writing, by e-mail, their manifestation of agreement with the decisions contained in these minutes.

Randon S.A. Implementos e Participações (Randon) informs its shareholders and further members of the securities market that, on this date, it signed a Rail Wagons Supply Agreement with MRC Soluções em Logística Ferroviária Vnte-Al Ltda. (MRC), a company that belongs to the Japanese Group Mitsui & Co. Ltd.

The deal involves the supply, by Randon, of up to 1150 Hopper Railway Wagons for the transport of grains, to be delivered by June 2011. With this transaction, Randon strengthens its market share in rail freight cars in Brazil, consolidating its position among the leading domestic manufacturers.

The Company announces that its Board of Directors, at a meeting held today, decided to forward to the Extraordinary General Meeting to be convened for April 8, 2010, a proposal from the Executive Board to Increase its Equity Capital and issue Bonus Shares.

The proposal is to increase the capital by R$ 324,000,000.00, from R$ 406,000,000.00 to R$ 730,000,000.00, through the capitalization of reserves with the issuance of 81,261,817 nominative book entry shares, being 27,296,098 common shares and 53,965,719 preferred shares, being allocated to shareholders, free-of-charge, a new share for every two shares of the same type which the shareholder holds on the date of the meeting.

In compliance with § 4th of Article 157, Law 6404/76, and CVM Directive no. 358/02, the Company informs its shareholders and further members of the stock market that the controlling shareholder DRAMD Participações e Administração Ltda. (DRAMD) is negotiating with Caixa de Previdência dos Funcionários do Banco do Brasil – Previ (PREVI) the exchange of common shares of this latter for preferred shares of DRAMD, both issued by Randon S.A. Implementos e Participações.

In case the negotiations with PREVI progress, DRAMD intends to make a Public Offering for the Acquisition of Common Shares issued by Randon (POS) to buy the total number of common shares outstanding in the market upon the exchange with preferred shares held by it. In this concern, DRAMD has consulted with CVM (Brazilian Securities Commission) about the possibility of making the OPA using a different procedure, in the event the negotiations advance.

The shareholders and the market will be informed on the development of this operation, as well as on its implementation.

Randon S.A Implementos e Participações has signed a Contract with Mitsui Rail Capital Participations Ltda., a company of the Japanese group Mitsui & Co. Ltd., involving the sale of 300 rail cars for the transport of grains. The pieces of equipment – hopper type and 112 m3 – will operate (to be used by Multigrain) in Ferrovia Centro- Atlântica, a Vale concession. This is the first sale for Vale, which places Randon as a supplier of the largest purchasers of rail equipment in the country. The transaction, which is close to R$ 55 million, foresees the delivery in lots, beginning in December, even though the largest delivery concentration will take place in the first half of 2010.

Randon S.A. Implementos e Participações is a mixed holding company, leader of a group of nine companies that operate in the segments of road equipment/ rail cars/ specialty vehicles, auto parts/ automotive systems and services. They are all leaders in their segments and benchmarks for technology and quality in Brazil and abroad, as well as important players in the global market. Release from Departamento de Organização do Sistema Financeiro (Financial System Organization Department) dated August 6 informs that the Company is authorized to create a Multiple Bank. 

During meeting held on July 23rd, Banco Central do Brasil expressed its favorable opinion on the creation of Randon Bank. As of the official communication made on this Thursday, August 6, to our Executive Board, Randon S.A.- Implementos e Participações is authorized to set up a multiple bank, which will begin with an initial capital of about R$ 25 million. The Bank will operate within the national financial market and will develop financial products and services aimed at boosting Randon Companies businesses. 

The process began in December 2007, when the Board of Directors of the Companies authorized the Executive Board to send an application request to Banco Central do Brasil to open a Multiple Bank. As of the authorization we have received, the Company has up to 90 days to formalize its application request for the operation of the Bank. 

Among the reasons to set up the Bank, the Company highlights the current trend to open niche market financial institutions, the significant amounts in customers` account raising the working capital, economy of fiscal amounts, experience with credit management to customers through our “Consórcios” company (coop-payment plans), leverage of the companies of the Group, and possible attractive return on the investment.

Review in 2009 Indicators - Guidance

Although the first half of the year showed progressive improvement, growth was slower than the Company expected when it disclosed its indicators at the beginning of the year.

The international financial crisis has shaken the market confidence and caused a credit crunch, reducing consumption in general across the planet, decreasing industrial activity, and making investments in capital goods more difficult. In the domestic market, the production of commercial vehicles dropped by approximately 30% as compared to 2008, driven by a strong slump in the foreign market, which shows a drop of 70% in the same period. Considering these facts and believing in a more stabilized recovery for the second half, Randon re-submits its estimates for the main market indicators, as follows:

Gross Revenue – R$ 3.5 billion;
Net Revenue – R$ 2.3 billion;
Exports – US$ 170 million;
Imports – US$ 50 million;
Investments – R$ 150 million.

Please be informed that the consolidated net revenue of Randon S.A. Implementos e Participações reached, in October 2008, R$ 321.1 million, an increase of 32.9% as compared to October 2007. In the period January-October 2008, the consolidated Net Revenue totaled R$ 2.651 billion, a rise of 26.0% in relation to the amount reached in the same period last year.

The total Gross Revenue (without eliminations and including taxes) in October 2008 reached R$ 477.4 million, 38.4% higher than that reached in October 2007. In the period January-October 2008, the Gross Revenue totaled R$ 3.949 billion, an increase of 31.9% when compared to the amount reached in the previous year.

On September 11, 2008, at 4:00 PM, at the company`s headquarters located on Abramo Randon Avenue, 770, in the city of Caxias do Sul, State of Rio Grande do Sul, the members of the Board of Directors gathered to discuss the establishing a a subsidiary company. Under the presidency of Raul Anselmo Randon, and David Abramo Randon as the secretary of the meeting, the Board members analysed the project referred to them by the company`s executive board, and pursuant item “n” of Article 21 of the Company`s Bylaws, the members unanimously authorized the members of the Executive Board to take all the necessary measures to create a business unit in France, in Blue Provenza Alps Coast , at an address to be determined. The subsidiary will have commercial operations and intends to intensify the activities of Randon Companies in northern Africa, especially in the region of Magrebe and adjacent countries, in continuation of the company`s globalization process. The acquisition will increase the Company’s  production capacity in this line by approximately seven million pieces/ year.

Fras-le has informed the market, through a Relevant Fact, about the purchase of the brake linings business of Haldex Brake Products Corporation, headquartered in Prattville, State of Alabama (USA), through its subsidiary Fras-le North America Inc. The operation includes all tangible and intangible assets, except for the land and buildings. The price of the acquisition corresponds to US$ 4,0 million, which will be paid with long-term loans borrowed by Fras-le North America, in the United States.

One of the main benefits of the acquisition will be the expansion in our current production capacity of brake linings, which will increase by 26% or seven million pieces a year. The Agreement foresees that the management of the business will pass to the control of Fras-le North America by August 1st, 2008.

Suspensys has achieved the Golden Trophy and Randon receives the Silver Trophy

Three of Randon Companies have achieved trophies in the RS Quality Award of the “Programa Gaúcho da Qualidade e Produtividade” (Productivity and Quality Program of the State of Rio Grande do Sul). In the 2008 issue, Fras-le was one of the winners of the Diamond Trophy, which was received by it for the second time. The first time was in 2005 and now Fras-le received again for having won the National Quality Award in 2007. Fras-le is the only company in the northeast of the state of Rio Grande do Sul to achieve this award level. Suspensys received the Gold Trophy and Randon S.A. will receive the Silver Trophy during a ceremony to be held on July 1^st, at 7:00 PM, at Centro de Exposições da Fiergs.

Raising Ecological Awareness is Part of the Environmental Policy of Randon Companies

Randon Companies, of Caxias do Sul (RS), have just been recognized as a “2008 Sustainable Company” in the industrial sector for their investments in sustainability actions. The distinction took place on June 17, at 7:00 PM, in Estação São Paulo (Ferreira de Araújo Street, 625 – Pinheiros, São Paulo/SP). The event is promoted by the magazine Meio Ambiente Industrial, which is responsible for organizing an inventory in the socioenvironmental context in Brazil. All Randon Companies showed significant growth rates in production and sales in 2007. The manufacturers of trailers/semi-trailers and specialty vehicles – which accounted for 48.2% of Randon Companies` consolidated net revenue in 2007 – maintained their respective production lines operating at full capacity to meet the demand for products of the agribusiness segment, including mining, bioenergy, durable and non-durable products. Thanks to the presence of freight transport and logistics in most economic sectors, Randon S.A.- Implementos e Participações recorded in 2007 another year of records in its results and growth. The total gross revenue (without eliminating inter-company sales) grew 24.4%, reaching R$ 3,6 billion, and the consolidated net revenue ended the year at R$ 2,5 billion, a 25.2% increase in relation to that of 2006. The gross profit reached R$ 671,1 million in the accrued result of 2007, representing an increase of 27.3% as compared to the same period in 2006 (R$ 527,1 million), while the consolidated net profit reached R$ 173,4 million (+30%) for a consolidated Ebtida of R$ 388,6 million. In 2007, Randon Companies invested R$ 196,6 billion in innovation and modernization, so as to ensure the regular supply of road equipment to the market.
