Further to the Material Fact dated October 10, 2007 and as broadly disclosed by the press, we announce the Shareholders and the market in general that the companies ENEL S.P.A. (ENEL) and ACCIONA, S.A. (ACCIONA), in their capacity of Endesa S.A.’s controlling shareholders, a company headquartered in Madrid, Spain (ENDESA), our Company’s indirect parent company, executed on February 20, 2009 an agreement by means of which ENEL (directly and/or through companies under its control) will acquire from ACCIONA (and/or its subsidiaries) shares representing 25.01% of ENDESA’s voting capital stock. As a consequence of said agreement, which is subject to given suspensive conditions, namely the obtainment of the permits issued by Spanish governmental bodies, ENEL will consolidate its position as ENDESA’s controlling shareholder, thereby holding from 67.05% to 92.06% of the latter’s voting stock.
