Acquisition of Material Shareholding Interest (Art.12 of CVM Rule 358)

Rio de Janeiro, January 24, 2011 - Pursuant to Article 12, Paragraph 4 of CVM Instruction 358 dated January 3, 2002, as amended by CVM Instruction 449 dated March 16, 2007, Estácio Participações S.A. (“Estácio” or the “Company”) announces that the Company received, on January 19, 2011, from the shareholder, Wellington Management Company, LLP (“Wellignton”), a communication informing that, on January 18, 2011, Wellignton held 4,602,480 ordinary shares issued by the Company, corresponding to 5,61% of its total capital.
