MATERIAL FACT
Conclusion of the Acquisition of Faculdade Atual da Amazônia

Rio de Janeiro, January 24, 2011 - Estácio Participações S.A. (“Estácio” or “Company” - Bovespa: ESTC11), in accordance with paragraph 4, Article 157 of Law 6,404/76 and CVM Rule 358/02, as amended, informs the market and the general public that, as disclosed in the Material Fact notice of October 19, 2010, the Company, through its subsidiary IREP Sociedade de Ensino Superior, Médio e Fundamental Ltda. (“IREP”), acquired on this date the entire capital of SOCIEDADE EDUCACIONAL ATUAL DA AMAZÔNIA LTDA.(“ATUAL”), the sponsoring institution of Faculdade Atual da Amazônia - FAA ("FAA”).

As disclosed earlier, the investment totaled twenty million reais (R$20,000,000.00), with a part of it paid to the partners and another part as assumption of obligations.

The acquisition represents a material investment for the Company in accordance with item b, sole paragraph of Article 247 of Law 6,404/76. The Company’s management will opportunely inform its shareholders of the date of holding the Shareholders’ Meeting to ratify the acquisition and whether said acquisition will entitle dissenting shareholders to withdrawal rights. If withdrawal rights are applicable, the reimbursement to shareholders will be made in accordance with the sole paragraph of Article 12 of the Company’s Bylaws.
