NOTICE TO SHAREHOLDERS
Exercise of Withdrawal Rights

Estácio Participações S.A. (“Company”), a publicly-held company, headquartered in the city and state of Rio de Janeiro, at Avenida Embaixador Abelardo Bueno, 199, 6° andar, sala 601, Barra da Tijuca, Rio de Janeiro, RJ, CEP: 22.640-102, listed under Corporate Taxpayer ID no. 08.807.432/0001-10 and registered in Rio de Janeiro State under the Company Registry NIRE 33.3.0028205-0, hereby communicates to its shareholders that the term for exercising withdrawal rights due to the acquisition of the shares representing the entirety of the capital stock of UB Unisãoluis Educacional S.A., which maintains Faculdade de Ciências Humanas e Sociais Aplicadas (The Human and Applied Social Sciences College - FACSÃOLUIS), an institution headquartered in the city of São Luis, Maranhão State, through its indirect subsidiary Sociedade Atual da Amazônia Ltda., will be thirty (30) days from July 4, 2012, the date of publication of the minutes of the Company’s Extraordinary Shareholders Meeting approving said acquisition. The deadline for dissenting shareholders to exercise their withdrawal rights will therefore be August 6, 2012. The reimbursement of the amount corresponding to the Company’s shares held on May 29, 2012, which was the publication date of the Material Fact outlining said acquisition and includes the transactions that took place on that day, is R$8.0191 per share, which represents to the equity value per share, which is the lower value between the shareholders’ equity and the Company’s economic value, in accordance with the terms of the sole paragraph of Article 12 of its Bylaws. The reimbursement of this amount per share to those shareholders who exercise their withdrawal rights will take place on August 20, 2012, which corresponds to the 10th business day following the deadline for exercising withdrawal rights, in accordance with the current legislation.
