NOTICE TO SHAREHOLDERS
Exercise of Withdrawal Rights

Estácio Participações S.A., a publicly-held company located at Av. Embaixador Abelardo Bueno, 199, 6° andar, sala 601, Barra da Tijuca, CEP: 22.640-102, in the city and state of Rio de Janeiro, inscribed in the corporate taxpayers register (CNPJ) under number 08.807.432/0001-10 and registered in the Board of Trade of Rio de Janeiro (NIRE) under number 33.3.0028205-0 (“Company”), hereby informs its shareholders that the period for exercising their withdrawal rights with regard to the acquisition of all the shares of UB Unisãoluis Educacional S.A. (“UNISÃOLUIS”), which maintains Faculdade de Ciências Humanas e Sociais Aplicadas - FACSÃOLUIS, an institution with head office and campus in the city of São Luis, state of Maranhão, through its indirect subsidiary Sociedade Educacional Atual da Amazônia Ltda., ended on August 6, 2012, i.e. thirty (30) days from the date of publication of the minutes of the Extraordinary Shareholders’ Meeting held on July 3, 2012 and published on July 4, 2012.

After the end of the legal period for exercising said withdrawal rights, holders of ten thousand five hundred (10,500) shares issued by the Company exercised their withdrawal rights with regard to the acquisition of UNISÃOLUIS.

Shareholders who exercised their withdrawal rights are informed that the reimbursement amount, according to the valuation report, is R$8.0191 per share, which represents the book value per share and will be paid on August 20, 2012, through their custody agents.
