MATERIAL FACT
Kroton Educacional S.A. (“Company”), in compliance with article 157, paragraph 4 of Law 6,404/76 and CVM Instruction 358/02, informs its shareholders and the general market that on January 18th, 2008 it acquired, through its controlling shareholder Editora e Distribuidora Educacional Ltda., 100% (one hundred per cent) of the share capital of Administração de Ensino Superior de Guarapari Ltda (AESG) and Sociedade de Ensino Superior de Guarapari Ltda (SESG), both located in the city of Guarapari, state of Espírito Santo.
