CALL NOTICE
MEETING OF DEBENTURE HOLDERS

FIRST PUBLIC OFFERING OF SIMPLE, NON-CONVERTIBLE, UNSECURED
DEBENTURES WITH ADDITIONAL GUARANTEE, IN A SINGLE SERIES, OF UNIDAS S.A.

Pentágono S.A. Distribuidora de Títulos e Valores Mobiliários, in its capacity as the trustee, pursuant to Clause 5.3 of the Private Deed of the First Public Offering of Simple, Non-convertible, Unsecured Debentures with Additional Guarantee, in a Single Series, of Unidas S.A. (“Deed”) entered into between the parties on July 8, 2008, hereby invites all the debenture holders relating to the aforementioned Issue (“Debenture holders”) to the General Meeting of Debenture holders to be held on January 26, 2009 at 10:30 am, at Rua Quintana, n° 887, conjunto 42, Brooklin Novo, in the city and state of São Paulo, to discuss on the early maturity envisaged in Clause 5.1, (t), (iv).

To take part in the meeting, a) debenture holders must present an identification document and proof of ownership of debentures; b) proxies of the debenture holders and other legal representatives should submit the respective power of attorney.
