Minerva S.A. ("Minerva" or "Company"), leading company in South America in the beef exports, and which also operates in the processed segment, in compliance with the provisions of paragraph 4 of article 157 of Law 6,404, dated December 15th, 1976, as amended ("Brazilian Corporate Law") and CVM Instruction 358 of January 3rd , 2002, as amended ("ICVM 358/02"), hereby informs the shareholders and the market in general as follows:

On this date, the Company has entered into a Memorandum of Understanding ("Memorandum") with the Chinese representatives Xuefang Chen and Wenbo Ge to explore commercial opportunities in the Chinese market, particularly on the imports and distribution of beef in China. The purpose of the Memorandum is to set up a joint venture ("JV"), in which Minerva, Athena Foods or any other subsidiaries to be defined, shall be partners.

With the establishment of this JV, in partnership with Chinese representatives, the Company aims to maximize its distribution channels in China, enabling new business opportunities, and to meet the growing demand for beef protein in China, which today accounts for approximately 15% of all global beef consumption.

Finally, the Company reiterates its commitment to keep its shareholders and the market in general updated on the progress of this and any other relevant matter.
