Notice to the Market

Minerva S.A. ("Minerva" or "Company"), the South American leader in beef export, hereby informs its shareholders and the market in general that today, its subsidiary Athena Foods, through its subsidiary Red Cárnica S.A.S., entered into an agreement for the acquisition of 1 (one) slaughter and deboning unit in Colombia, owned by Frigorifico Vijagual S.A., located in the city of Bucaramanga, Santander.

The total investment will amount to approximately US$26 million, including: a) the acquisition of assets (US$14 million); b) working capital (US$7 million); and c) investments in expansion and renovation of facilities (US$5 million).

The unit has a slaughtering and deboning capacity of 700 heads/day and is expected to double the Company‘s capacity in Colombian operations in 2021. It‘s expected that Athena Foods starts operating the unit from September 1st on.

With a herd of approximately 28 million head (larger than the Australian), according to USDA, Colombia has a huge growth potential, especially in the export front. Athena Foods, which is leader in beef exports in the country, consolidates even further its position with the acquisition.
